SURFACE TRANSPORTATION BOARD GRANTS APPLICATION OF ZS&R CLIENT NORFOLK SOUTHERN RAILWAY COMPANY TO ESTABLISH A NEW REGIONAL RAILROAD, PAN AM SOUTHERN LLC, TO OPERATE LINES IN NEW ENGLAND

On March 10, 2009, the Surface Transportation Board granted the application of ZS&R client, Norfolk Southern Railway Company (NSR) to establish a new regional railroad, Pan Am Southern, LLC (PAS), which will own and operate 437 miles of track  in Massachusetts, Vermont, New Hampshire, Connecticut and New York.  PAS will be jointly owned by NSR and Pan Am Railways, Inc. and its subsidiaries (Pan Am), formerly known as Guilford Transportation Industries, Inc., which contributed the track and other assets that PAS will own and operate.  The east-west main line of PAS runs from Mechanicville, New York, near Albany, to Ayer, Massachusetts, near Boston, and its north-south main line runs from White River Junction, Vermont to New Haven Connecticut over track owned by PAS as well as track of other railroads over which PAS has operating rights.  NSR plans to infuse almost $90 million into PAS to improve the lines and other infrastructure.  The STB found that the transaction would not adversely affect competition.  It imposed conditions to mitigate any effects on the environment and standard conditions to protect adversely affected employees, but it denied a number of requested conditions sought by certain other railroads and parties.   ZS&R partner Richard Allen and associates Christina Wenzel and David Endersbee represented NSR in this matter.
